South Korea’s Hanwha Group has submitted a non-binding offer exceeding $1 billion to acquire Austal USA, Austal Ltd said, valuing the unit at $1.05–$1.2 billion. The purchase would give Hanwha the Mobile, Alabama shipyard that builds for the US Coast Guard and Navy and supplies submarine modules to General Dynamics Electric Boat for Virginia- and Columbia-class submarines. Hanwha said any deal is subject to due diligence.

Kioxia said on Tuesday that as of Aug. 3 former parent Toshiba cut its stake from 14.48% to about 14.12%, making BCPE Pangea Cayman2, set up by Bain Capital, the largest shareholder with a 14.19% holding. Kioxia’s annual report shows SK Hynix holds bonds convertible into “almost all” of BCPE Pangea Cayman2’s voting rights; the company flagged SK Hynix’s claim as a risk that could create conflicts of interest. SK Hynix participated in the 2018 Bain-led buyout and agreed under the deal not to exceed 15% of Kioxia’s voting rights without Kioxia’s consent before 2028.
